Terms and Conditions of a Sale
PRICES: All prices quoted herein are net F.O.B. Smithville, Tennessee. Prices are based on current market conditions and are subject to change without notice.
TERMS: Open accounts, on known or approved credit ratings, are net thirty (30) days from receipt of shipment, otherwise security or satisfactory credit references. We require a 25% deposit on C.O.D. orders prior to shipment with balance payable when order is delivered. Overdue accounts are subject to a service charge of 1.5% per month (which is a true annual rate of 18%) on all past due balances. If placed in the hands of an attorney for collection, purchaser agrees to pay a reasonable attorney fee together with cost of collection. The purchaser and seller agree that if suit is brought by either party for any reason whatsoever, then such suit must be filed and prosecuted only in a court in DeKalb County, Tennessee.
CONDITIONS OF SALE: Orders are accepted subject to crop failure, damage in storage, frost injury or any natural cause beyond our control and we reserve the right to refund all or any part when such occurs. All orders are accepted without liability for nonperformance if labor shortages or delay in transportation should prevent us from making delivery.
LIABILITY: We are careful to keep varieties true to name as labeled and will replace upon proper proof any that may prove otherwise or refund the original purchase price but it is mutually agreed that we shall not be held liable for more than this amount. We are not responsible under any conditions for the livability of plants that we ship.
CANCELLATIONS: Any cancellations must be made 30 days prior to scheduled shipping date. Any cancellations made after this time will be subject to a 10% restocking charge of the original order amount.
SHIPPING AND TRANSPORTATION: All plants are sold freight collect, and travel at risk and expense of purchaser. Orders into the same area will be prorated. All rates are figured at current trucking cost and are subject to change due to conditions beyond our control. We will be happy for you to call for your orders with your own trucks if you prefer.
CLAIMS: Claims for shortages, damages or any cause must be made promptly upon arrival of plants. We will not honor claims made after goods have been accepted, or when written notice is not made within 5 days from receipt of shipment.
PACKING: We charge for boxing and baling at cost of material used. When plants are loaded in bulk in car or truck no packing charge is made.
